This End User License Agreement ("Agreement") is a legal agreement between you ("You" or "Licensee") and Michael's Fonts ("Licensor") for the use of font software ("Font" or "Fonts") purchased or downloaded from michaelsfonts.com ("Website").
By downloading, installing, or using any Font from this Website, you agree to be bound by the terms of this Agreement. If you do not agree, do not download or use the Font.
1. License Grant
Upon purchase or download, Licensor grants You a non-exclusive, non-transferable, perpetual license to use the Font under the following terms.
2. Permitted Uses
You may use the Font for:
• Personal and commercial design projects
• Logos, branding, and identity design
• Websites and digital applications (including web embedding via @font-face)
• Print materials including packaging, merchandise, signage, and publications
• Social media graphics and digital content
• Film, video, and broadcast productions
The license covers use by one (1) individual or entity. If additional users within your organization need to use the Font, additional licenses must be purchased.
3. Prohibited Uses
You may not:
• Sell, sublicense, lease, or redistribute the Font files to any third party
• Share, upload, or make the Font files available for download on any server, website, or file-sharing service
• Modify, adapt, translate, reverse engineer, decompile, or disassemble the Font software
• Use the Font to create alphabet-based products or derivative fonts
• Claim authorship or ownership of the Font design
4. Free Fonts
Fonts offered for free on the Website are provided under the same terms as paid Fonts unless otherwise stated. Free Fonts may be used for personal and commercial purposes, but may not be redistributed or sold.
5. Ownership
The Font and its design remain the intellectual property of the Licensor. This Agreement grants a license to use the Font, not ownership of the Font itself. All rights not expressly granted are reserved by the Licensor.
6. Refund Policy
Due to the digital nature of the product, all sales are final. No refunds will be issued after purchase. You are encouraged to preview all Fonts on the Website before purchasing.
7. Warranty Disclaimer
The Font is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Licensor does not warrant that the Font will be error-free or uninterrupted.
8. Limitation of Liability
In no event shall Licensor be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Font, even if advised of the possibility of such damages. Licensor's total liability shall not exceed the amount paid for the Font.
9. Termination
This Agreement is effective until terminated. Licensor may terminate this Agreement if You breach any of its terms. Upon termination, You must immediately cease all use of the Font and destroy all copies in your possession.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
11. Entire Agreement
This Agreement constitutes the entire agreement between You and Licensor regarding the use of the Font and supersedes all prior agreements, understandings, and communications, whether written or oral.
